The Association shall be governed by its Board of Directors. All corporate powers shall be exercised by or under authority of, and the business and the affairs of the corporation shall be managed under the direction of, its Board of Directors, subject to any limitations by powers given to the Membership or the Leadership Team, as set forth below in Section 7 of these By-laws.
7.1 Board of Directors: The Board of Directors shall consist of:
A. The Leadership Team
B. The immediate Past President who shall serve for a term of two (2) years.
C. Voting DirectorsāAn elected Director shall serve for a term of two (2) years and may serve no more than three (3) consecutive terms and is not eligible to serve again (elected or appointed) for at least two (2) calendar years after that Director has left office. Thirteen (13) total directors shall be elected by the membership of the Association at large. One half (1/2) of the Directorate shall be elected annually from a pool of REALTORSĀ®, with the exception that one (1) of the above- referenced Voting Directors shall be elected from the Affiliate membership.
D. There shall be one (1) non-voting reciprocal Director between the Huntsville Area Association of REALTORSĀ® and the Huntsville/Madison County Builderās Association with each organization selecting such Director.
E. Annually, each Chapter will appoint/elect ex-officio voting member to serve a one (1) year term on the Huntsville Area Association of Realtors Board of Directors. As the liaison between the Board of Directors and the Chapter, the Chairman will ensure effective communication within the Association.
F. The acting Chief Executive Officer shall serve on the Board of Directors as a non-voting liaison.
